HPREVIEW END-USER LICENSE AGREEMENT

This End-User License Agreement ("Agreement") is between you ("you" or
"Licensee") and Andreas Heindl, trading as "Heindl Solutions" ("Heindl
Solutions", "we", "us"), for the software product hpreview, including the
accompanying hpreviewcli command-line tool, any adapter components, and
their documentation (collectively, the "Software"). If you use the
Software on behalf of a company or other organization, "you" and
"Licensee" mean that organization, and you confirm that you are
authorized to accept this Agreement on its behalf; otherwise they mean you
as an individual.

By installing, copying, or otherwise using the Software, you agree to be
bound by this Agreement. If you do not agree, do not install or use the
Software.

1. LICENSE GRANT
Subject to your compliance with this Agreement, Heindl Solutions grants you
a non-exclusive, non-transferable license, revocable only as described in
section 10, to install and use the Software:
  (a) free of charge, for evaluation purposes and for non-commercial use
      (see section 2); and
  (b) for commercial use, under a personal license issued to you (see
      section 3), by the individual named in it and together with the
      HALCON installation identified by the HALCON host ID stated in it.

2. FREE EVALUATION AND NON-COMMERCIAL USE
The Software may be used free of charge for evaluation purposes and for
non-commercial use. A paid license, obtainable as described at
https://heindl-solutions.com/hpreview, is required for commercial use.
"Commercial use" means use by, or on behalf of, a business, organization,
or other entity engaged in commercial activity, including internal
engineering, quality-control, or production use.

Paid licenses are offered on a business-to-business (B2B) basis only. By
purchasing a license, you represent that you are acting in the course of
your trade, business, or profession, and not as a consumer.

3. PERSONALIZED LICENSE AND HALCON HOST ID
A license is issued to the Licensee - the company stated in it - for use
by one individual, also named in it, together with one HALCON host ID
(usually the ID of a HALCON dongle), also stated in it. The Software does
not technically enforce this; it only checks that the stated host ID
appears in the HALCON license files on the machine it runs on. You agree
that each license is used only by the individual named in it and only
together with the stated HALCON host ID, and not to share, publish, or
otherwise distribute it. If the HALCON dongle is replaced, the Software
moves to a new machine, or another individual takes over, contact
hpreview@heindl-solutions.com for an updated license.

4. RESTRICTIONS
You may not:
  (a) copy, modify, or create derivative works of the Software, except as
      expressly permitted by this Agreement;
  (b) reverse-engineer, decompile, or disassemble the Software, except to
      the extent such restriction is prohibited by applicable law;
  (c) rent, lease, lend, sell, sublicense, or otherwise transfer the
      Software or your license to a third party;
  (d) remove or alter any copyright, trademark, or other proprietary
      notice contained in the Software.
You may, however, pass on unmodified copies of the Software's installation
package (installer, archive, or AppImage) free of charge; each
recipient's use is governed by this Agreement. Licenses themselves may not
be passed on (see section 3).

5. OWNERSHIP
The Software is licensed, not sold. Heindl Solutions and its licensors
retain all right, title, and interest in the Software, including all
intellectual property rights. This Agreement grants no rights to any
trademark or service mark of Heindl Solutions.

6. THIRD-PARTY COMPONENTS AND TRADEMARKS
The Software includes third-party open-source components, including Qt
(licensed under the GNU Lesser General Public License v3) - see
THIRD-PARTY-LICENSES.html, included with your installation, for the
applicable license texts and attributions. HALCON and HDevelop are
trademarks of MVTec Software GmbH. Heindl Solutions is not affiliated
with, endorsed by, or sponsored by MVTec Software GmbH; the Software is an
independent tool for viewing files produced by HALCON, distributed
separately from HALCON itself, which you must license separately from
MVTec.

7. NO WARRANTY
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HEINDL SOLUTIONS
DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, OR
THAT ANY FILE FORMAT WILL BE CORRECTLY READ, DISPLAYED, OR EXPORTED IN
EVERY CASE. THIS DOES NOT AFFECT LIABILITY FOR DEFECTS FRAUDULENTLY
CONCEALED OR FOR A GUARANTEE EXPRESSLY GIVEN (SEE SECTION 8).

8. LIMITATION OF LIABILITY
SUBJECT TO THE FOLLOWING TWO PARAGRAPHS, AND TO THE MAXIMUM EXTENT PERMITTED
BY APPLICABLE LAW, HEINDL SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF
DATA, PROFITS, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH THIS
AGREEMENT OR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH
DAMAGES. HEINDL SOLUTIONS' TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT
EXCEED THE AMOUNT YOU PAID FOR THE LICENSE.

For use free of charge (section 2), Heindl Solutions is liable only for
intent and gross negligence. For a slightly negligent breach of an
essential contractual obligation - one whose fulfilment makes the proper
performance of this Agreement possible in the first place and on which you
may regularly rely - Heindl Solutions' liability is limited to the
foreseeable damage typical for this type of agreement.

Nothing in this Agreement limits or excludes liability for intent or gross
negligence, for injury to life, body, or health, for defects fraudulently
concealed, for a guarantee expressly given, or under the German Product
Liability Act (Produkthaftungsgesetz).

9. UPDATES AND SUPPORT
Your license entitles you to all hpreview updates and bug fixes released
for the same major version, delivered via the download link at
heindl-solutions.com/hpreview. Support is provided on a best-effort basis
via hpreview@heindl-solutions.com.

10. TERM AND TERMINATION
This Agreement is effective until terminated. Heindl Solutions may
terminate it if you fail to comply with its terms. Upon termination, you
must stop using the Software and destroy all copies of it and your
license.

11. GOVERNING LAW
This Agreement is governed by the laws of Germany, without regard to its
conflict-of-laws principles. The exclusive place of jurisdiction for any
dispute arising from this Agreement is Landshut, Germany.

12. ENTIRE AGREEMENT
This Agreement is the entire agreement between you and Heindl Solutions
regarding the Software and supersedes any prior agreements, oral or
written. If any provision is held unenforceable, the remaining provisions
remain in full effect.

Heindl Solutions
